Type of Transaction: Buy-and-Build

Integral Value:
Helios and an experienced textile executive, Ms. Nancy Zarin, acquired Belding Hausman Incorporated from Belding Heminway Company, Inc., (NYSE: BHY). With the aid of Helios, Ms. Zarin recruited an experienced management team and implemented a plan to transform Belding into a diversified manufacturer of higher margin fabric. In 1999, Belding, with the support of Helios, acquired the Boger City Plant of JPS Converter and Industrial Corp. (“JPS”), a wholly owned subsidiary of JPS Industries, Inc., (NASDAQ: JPST). JPS had been Belding’s largest supplier in providing rayon yarn as well as Belding’s largest competitor. The acquisition expanded Belding's market share as well as vertically-integrated its supply chain. When Helios purchased Belding in July of 1996, the Company had less than $30 million in revenue. Through acquisition and internal growth, Belding has grown to over $85 million in sales with manufacturing facilities in three different states.
